Welcome to the website of Zynder (“the Company”), an entity incorporated under the laws of Canada and dedicated to the sale of services and the provision of its logistic optimization and routing software (the “Software”).

These Terms and Conditions of Use (the “Terms”) govern the access, browsing, and use of the website https://zynderlp.com/ (the “Site”), as well as the acquisition, activation, and use of the Software and any complementary services offered by the Company (the “Services”).

By accessing or using the Site or the Software, you (“the User”) acknowledge that you have read, understood, and agreed to these Terms. If you do not accept any of their provisions, you must refrain from using the Site or the Services.

1. Definitions

For the purposes of these Terms:

  • “Software”: Digital application designed to optimize routes, assign tasks, manage operations, map trajectories, monitor fleets, and improve logistic processes through advanced algorithms.
  • “User”: Any individual or corporate entity that accesses, uses, or subscribes to the Software or Services.
  • “Account”: The User profile created to access the Software.
  • “Content”: All data, information, functionalities, texts, graphics, designs, interfaces, technical documentation, and materials available on the Site or within the Software.

2. Acceptance of the Terms

Use of the Site or the Software constitutes full and unconditional acceptance of these Terms. The Company may modify or update the Terms at any time. Any changes become effective upon publication on the Site. The User is responsible for reviewing this document periodically.

3. User Registration and Accounts

3.1.

To access the Software, the User must create an Account and provide accurate, complete, and up-to-date information.

3.2.

The User is responsible for:

  • maintaining the confidentiality of their access credentials;
  • notifying the Company of any unauthorized activity;
  • assuming responsibility for all actions performed through their Account.

3.3.

The Company reserves the right to suspend or cancel accounts that show improper use, fraudulent activity, or violations of these Terms.

4. Software License

4.1.

The Company grants the User unlimited task usage, exclusive, non-transferable access, subject to the corresponding payment, to use the Software during the contracted term.

4.2.

The User is not authorized to:

  • copy, modify, decompile, reverse engineer, disassemble, or attempt to obtain the Software’s source code;
  • sublicense, transfer, or sell the Software;
  • use the Software for illegal, abusive purposes, or in ways that may affect third-party infrastructure.

4.3.

The Company retains full ownership of the Software, its code, algorithms, and technological components at all times.

5. Software Features

The Software may include, among others:

  • Automatic generation of optimized routes
  • Intelligent assignment
  • Integration with maps and external providers
  • Real-time route monitoring
  • Analytical efficiency reporting
  • Order and delivery management
  • Configuration of advanced logistic constraints

The Company may update, improve, or modify functionalities without prior notice when deemed necessary.

6. Restrictions on Use

The User agrees not to use the Site or the Software to:

  • upload false, illegal, or third-party-infringing data;
  • perform load tests, penetration tests, or security analyses without authorization;
  • interfere with the Company’s servers, networks, or technological infrastructure;
  • use the Software to compete directly with the Company’s products.

7. Payments, Renewals, and Cancellations

7.1.

Access to the Software is subject to payment of the applicable fees, which will be communicated to the User before contracting.

7.2.

Charges may be processed monthly, annually, or under any agreed-upon billing scheme.

7.3.

Unless otherwise agreed, all subscriptions renew automatically.

7.4.

Cancellation may be requested at any time; however, no refunds will be issued for unused periods, except where required by applicable Canadian law.

8. Intellectual Property

8.1.

All content on the Site and within the Software—including code, texts, graphics, audiovisual materials, manuals, logos, and databases—is owned by the Company or its licensors.

8.2.

Any unauthorized use, whether partial or total, is strictly prohibited.

9. Personal Data and Privacy

The processing of personal data is governed by the Privacy Policy available on the Site, in accordance with applicable Canadian privacy laws.

10. Third-Party Integrations

The Software may connect to third-party services or APIs (for example, mapping providers, geolocation services, or logistics platforms).

The Company is not responsible for:

  • the availability of third-party services;
  • failures arising from external integrations;
  • privacy policies or terms belonging to third parties.

11. Service Availability

The Company commits to making reasonable efforts to ensure high availability of the Software. However, scheduled or emergency maintenance may occur.

12. Limitation of Liability

To the maximum extent permitted by applicable Canadian law:

  • The Company does not guarantee that the Software will be completely error-free or uninterrupted.
  • The Company is not liable for economic losses, indirect damages, loss of profits, data loss, or costs resulting from the use—or inability to use—the Software.
  • The Company’s total liability, if any, shall be limited to the amount actually paid by the User during the 12 months preceding the reported incident.

13. Indemnification

The User agrees to indemnify and hold the Company harmless from claims arising from:

  • improper use of the Software;
  • violation of these Terms;
  • use of User-uploaded data that infringes third-party rights.

14. Suspension and Termination

The Company may suspend or terminate access to the Software when:

  • the User breaches these Terms;
  • security risks exist;
  • payments remain outstanding;
  • required by competent authorities.

15. Governing Law and Jurisdiction

These Terms shall be governed and interpreted in accordance with applicable federal laws of Canada.

Any dispute shall be submitted to the competent courts of Canada and/or the courts agreed upon by contract in accordance with applicable laws.
